1. Acceptance of Terms

By accessing, downloading, or using the ClinicPro software, website, or any related services provided by Platform Technologies LLC, you agree to be legally bound by these Terms and Conditions ("Terms"). These Terms constitute a binding agreement between you (the "Client", "User", or "Healthcare Facility") and Platform Technologies LLC regarding the use of our hospital and clinic management software.

If you are entering into this agreement on behalf of a healthcare entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you must not access or use ClinicPro.

Updates: Platform Technologies reserves the right to amend these Terms at any time. Continued use of the software after the effective date of any changes constitutes acceptance of the revised Terms.

2. Service Description: ClinicPro

ClinicPro is a mission-critical, web-based hospital and clinic management software designed to run core financial, clinical, and operational processes. Platform Technologies grants you a non-exclusive, non-transferable right to access and use ClinicPro based on your subscription plan.

2.1 Core Modules

• Patient Administration: Appointment Scheduling, Patient Registration, ADT (Admission, Discharge, Transfer), Bed Management, and Patient Communication.
• Revenue Cycle Management: Cash/Credit Billing, Packages, Rate/Discount Management, Credit Notes, Deposits, Claim Submissions, Medical Coding, and Remittance Advice.
• Clinical Features: Outpatient EMR (Configurable SOAP notes, Diagnosis, e-Prescriptions), Inpatient EMR (Notes, MAR), OT-EMR, and Consolidated EMR View.
• Pharmacy/Inventory: Procurement, Stock Management (Adjustments, Transfers, Indenting).
• Reporting & Add-ons: Custom dashboards and operational reports.

2.2 Deployment

ClinicPro is available as a cloud-based (SaaS) solution or as an on-premise installation. No additional operating system or database licenses are required from the Client.

3. User Accounts & Obligations

You are responsible for all activities occurring under your account. Credentials are for authorized personnel only and must not be shared with unauthorized parties.

• Accuracy: You must input accurate patient, billing, and clinical data. Platform Technologies is not liable for data entry errors made by your staff.
• Compliance: You agree to comply with all applicable UAE federal and local laws, including but not limited to regulations issued by the DHA, DoH, and MOHAP.
• Restrictions: You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of ClinicPro. You may not resell, sublicense, or transfer the software to a third party without written consent.

5. Data Privacy & UAE Regulatory Compliance

Platform Technologies takes data protection seriously. We comply with UAE Federal Law No. 45 of 2021 (Personal Data Protection Law) and the specific data governance standards set by DHA, DoH, and MOHAP.

• Data Ownership: You retain full ownership of all patient and clinical data entered into ClinicPro. Platform Technologies acts as a data processor.
• Anonymized Analytics: We may use aggregated, anonymized, and de-identified data for product improvement and benchmarking.
• Security: We implement physical, administrative, and technical safeguards to protect against unauthorized access, disclosure, or destruction of data.
• Breach Notification: In the event of a data breach affecting your PHI, we will notify you immediately.

6. Intellectual Property Rights

Platform Technologies LLC retains all right, title, and interest in and to the ClinicPro software, including all source code, object code, user interfaces, algorithms, documentation, and derivative works.

• This agreement grants you a limited, non-exclusive, non-transferable license to use ClinicPro for your internal business operations.
• You may not copy, modify, or create derivative works of the software, nor remove any proprietary notices.
• All trademarks, service marks, and logos are owned by Platform Technologies.

7. Limitation of Liability & Disclaimer of Warranties

Warranty Disclaimer: THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". PLATFORM TECHNOLOGIES MAKES NO WARRANTIES, EXPRESS OR IMPLIED.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, PLATFORM TECHNOLOGIES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

In no event shall Platform Technologies' total liability exceed the total fees paid by you during the twelve (12) months preceding the incident.

8. Payment & Fees

Subscription fees, implementation costs, and support fees are detailed in your commercial agreement or invoice.

• Invoicing: Fees are billed in advance on a monthly or annual basis unless otherwise agreed.
• VAT/GST: All fees are exclusive of VAT, which shall be added in accordance with UAE Federal Decree-Law No. 8 of 2017.
• Late Payment: Platform Technologies reserves the right to suspend access if payment is not received within 15 days of the due date.
• No Refunds: Subscription fees are non-refundable, except as required by law.

9. Regulatory Compliance & Coding Standards

ClinicPro includes features to assist clients in meeting UAE regulatory requirements. However, the Client remains responsible for ensuring full compliance.

• Medical Coding: Support for ICD-10, HCPCS, and CPT coding.
• Insurance: Capitation management, Waseel, DHA/DoH claim formatting, and TPA reconciliation.
• Tax: VAT/GST billing logic and invoice formatting.
• Updates: Periodic free updates are provided to maintain compliance with changing regulatory standards.

10. Prohibited Uses

You are strictly prohibited from using ClinicPro or any Platform Technologies service for:

• Unauthorized access, data scraping, or crawling of the platform.
• Uploading malicious code, viruses, or engaging in penetration testing without written authorization.
• Storing or processing illegal content or patient data obtained without consent.
• Any activity that violates UAE cybercrime laws.

11. Termination

This agreement remains effective until terminated by either party.

• By Client: You may cease use of ClinicPro at any time. Fees paid are non-refundable.
• By Platform Technologies: We reserve the right to suspend or terminate access immediately without prior notice if you breach these Terms.
• Data Retrieval: Upon termination, we will provide you with a copy of your data in a standard format within 30 days of request.

12. Support & Updates

Platform Technologies provides technical support via email and phone during UAE business hours (Sunday to Thursday, 9:00 AM – 6:00 PM GST).

• Patches: Critical bug fixes are released as soon as they are available.
• Upgrades: Major version updates are provided free of charge to active subscribers.
• Customization: Custom development requests are billed separately.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute arising out of or relating to these Terms shall be resolved amicably through negotiation. If the dispute cannot be resolved within 30 days, the parties agree to submit to the exclusive jurisdiction of the courts of UAE.
